Terms of Service

Effective Date: August 24, 2026

These Terms of Service ("Terms") govern access to and use of Nihul Mosdot, a software service operated by CiviHosting ("Nihul Mosdot," "CiviHosting," "we," "us," or "our"), including our websites, applications, and related services (collectively, the "Service").

These Terms constitute an agreement between CiviHosting and the educational institution, organization, or other customer using the Service ("Customer").

If you create an account or accept these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

Nihul Mosdot provides online software for the administration and management of educational institutions, including features relating to students, families, staff, classes, attendance, scheduling, academic information, billing, payments, transportation, reporting, and other administrative functions.

We may improve, modify, add, or remove features from time to time. We will not intentionally make a material reduction to the core functionality of a paid Service during an active subscription without reasonable notice.

2. Customer Accounts

Customer is responsible for:

  • providing accurate account information;
  • determining which users are authorized to access its account;
  • assigning appropriate roles and permissions;
  • maintaining the confidentiality of login credentials;
  • promptly disabling access that is no longer authorized; and
  • activity performed through its authorized accounts.

Customer must notify us promptly at help@nihulmosdot.com if it becomes aware of unauthorized access to its account.

3. Customer Data

"Customer Data" means information submitted to, stored in, transmitted through, or processed by the Service by or on behalf of Customer.

As between Customer and CiviHosting, Customer retains all rights to Customer Data.

Customer grants CiviHosting a limited right to host, copy, transmit, back up, access, and otherwise process Customer Data solely as reasonably necessary to:

  • provide and maintain the Service;
  • provide support requested by Customer;
  • secure and protect the Service;
  • prevent abuse, fraud, or unauthorized access;
  • comply with Customer's lawful instructions;
  • comply with applicable legal obligations; and
  • improve the reliability and functionality of the Service using aggregated or de-identified information that does not reasonably identify an individual or Customer.

CiviHosting does not acquire ownership of student, family, staff, financial, educational, or other institutional records merely because they are stored in the Service.

4. Data Protection and Processing

Customer generally determines what Customer Data is collected, the purposes for which it is used, and who is authorized to access it.

To the extent applicable privacy law treats Customer as a controller, database controller, business, or equivalent entity and CiviHosting as its processor, service provider, holder, or equivalent entity, CiviHosting will process Customer Data on Customer's behalf for the purpose of providing the Service and in accordance with these Terms and Customer's lawful instructions.

Customer is responsible for ensuring that it has an appropriate legal basis or other authority to collect, use, disclose, and instruct us to process Customer Data.

Where applicable law requires additional contractual data-processing terms, the parties will enter into an appropriate Data Processing Addendum ("DPA") or other written data-processing agreement. If a DPA executed between Customer and CiviHosting conflicts with these Terms regarding the processing of personal information, the DPA will control with respect to that conflict.

Each party is responsible for complying with the privacy and data-protection laws applicable to its own activities.

5. Data Location and International Processing

Our primary application infrastructure and Customer Data storage are currently located on servers in the European Union.

CiviHosting operates from the United States, and certain information may be accessed or processed in other countries by CiviHosting or its service providers where reasonably necessary to provide the Service.

Where applicable law imposes requirements on international transfers of personal information, the parties will use appropriate contractual or other lawful safeguards.

6. Security

We maintain administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, alteration, disclosure, loss, or destruction.

Customer acknowledges that no internet-based service or electronic storage system can be guaranteed to be completely secure.

If we become aware of a confirmed security incident involving unauthorized access to Customer Data, we will notify affected Customers without undue delay where required by applicable law or an applicable written agreement and will provide reasonable information and cooperation concerning the incident.

Customer is responsible for using available security features appropriately, maintaining secure user credentials, and promptly removing access for users who should no longer have access.

7. Confidentiality

Each party may receive non-public information of the other party that reasonably should be understood to be confidential.

Each party agrees to:

  • use the other party's confidential information only as necessary to perform or receive the Service;
  • take reasonable measures to protect it; and
  • disclose it only to personnel, contractors, or service providers who need access and are subject to appropriate confidentiality obligations.

Customer Data is Customer's confidential information.

These obligations do not apply to information that is publicly available through no breach of these Terms, was lawfully known without restriction, was independently developed, or was lawfully obtained from another source without confidentiality restrictions.

A party may disclose confidential information where legally required, subject to providing notice where legally permitted and reasonably practicable.

8. Customer Responsibilities

Customer is responsible for determining what information it enters into the Service and how the Service is used by its organization.

This includes responsibility for:

  • providing legally required notices;
  • obtaining legally required permissions or consents;
  • establishing appropriate internal access permissions;
  • maintaining the accuracy of Customer Data where required;
  • responding to individuals exercising rights concerning records controlled by Customer; and
  • complying with laws applicable to Customer's use of the Service.

Customer may not instruct CiviHosting to process information in a manner that Customer knows would violate applicable law.

9. Acceptable Use

Customer and its users may not:

  • use the Service for unlawful purposes;
  • access information without authorization;
  • attempt to gain unauthorized access to systems or accounts;
  • interfere with or disrupt the Service;
  • introduce malware or malicious code;
  • bypass security or access controls;
  • probe or test vulnerabilities without written authorization;
  • use automated systems in a manner that places an unreasonable load on the Service; or
  • use the Service in a manner that infringes the rights of another person.

We may take reasonable steps to prevent or stop conduct that threatens the security, integrity, availability, or lawful operation of the Service.

10. Billing and Financial Features

The Service may include features used to calculate charges, record payments, prepare payment instructions or files, reconcile transactions, or communicate with banks and payment providers.

CiviHosting is not a bank, accounting firm, financial adviser, or payment institution merely by providing these software features.

Customer is responsible for reviewing and approving payment instructions, bank files, amounts, account information, and other financial information before submitting or relying upon them.

Payment processing and banking services provided by third parties remain subject to the applicable third party's rules, agreements, availability, and processing procedures.

11. Fees, Billing, and Taxes

Fees are determined by the pricing displayed at signup, an order form, quotation, written agreement, or other applicable purchase terms.

Unless otherwise stated, subscription fees are charged in advance.

Recurring subscriptions will renew for successive subscription periods unless canceled before the next renewal date.

Customer authorizes us and our payment processor to charge the applicable payment method for recurring fees when due.

Customer is responsible for applicable sales, use, value-added, withholding, or similar taxes associated with its purchase of the Service, except for taxes imposed on CiviHosting's net income.

12. Cancellation

Customer may cancel a subscription using a cancellation method provided by us or by contacting us.

Unless otherwise agreed, cancellation takes effect at the end of the then-current paid subscription period.

Payments already made are non-refundable except where required by applicable law or expressly stated otherwise in writing.

13. Suspension and Termination

We may suspend or restrict access to the Service where reasonably necessary because of:

  • nonpayment;
  • a material violation of these Terms;
  • unlawful activity;
  • an actual or reasonably suspected security threat;
  • conduct that threatens the Service or other customers;
  • a request by Customer; or
  • a legal requirement.

Where reasonably practicable, we will provide Customer with notice and an opportunity to resolve the issue before suspension.

Either party may terminate the relationship as permitted by the applicable subscription, order, or written agreement.

Provisions that by their nature should continue after termination, including provisions concerning ownership, confidentiality, liability, payment obligations, and dispute resolution, will survive termination.

14. Customer Data Following Termination

Customer is responsible for exporting Customer Data it wishes to retain before termination or expiration.

Where technically available, we will provide a reasonable opportunity to export Customer Data following termination upon request.

We may thereafter delete Customer Data, subject to reasonable backup cycles, legal obligations, security requirements, dispute preservation requirements, and any applicable written agreement.

Data remaining temporarily in backups will remain subject to applicable confidentiality and security obligations until deleted through the ordinary backup lifecycle.

15. Intellectual Property

The Service, including its software, source code, interfaces, design, documentation, trademarks, logos, and related materials, is owned by or licensed to CiviHosting and is protected by applicable intellectual-property laws.

Except for the limited right to use the Service during an active subscription, these Terms do not transfer any ownership rights in the Service to Customer.

Customer may use the Service for its internal institutional and administrative purposes in accordance with these Terms.

16. Feedback

If Customer voluntarily provides suggestions, ideas, or feedback about the Service, CiviHosting may use that feedback without restriction or compensation, provided that doing so does not disclose Customer Data or Customer's confidential information.

17. Third-Party Services

The Service may integrate with or depend upon third-party products and services, including hosting providers, email providers, payment processors, banking systems, mapping providers, monitoring services, and other external systems.

CiviHosting is not responsible for failures, acts, omissions, or changes to third-party services outside our reasonable control.

Use of third-party services may be subject to separate terms and privacy policies established by those providers.

18. Availability and Support

We aim to provide reliable access to the Service but do not guarantee that it will be available without interruption or error.

Maintenance, software defects, internet failures, security incidents, third-party outages, force majeure events, or other circumstances may temporarily affect availability.

Any specific service-level commitment applies only if stated in a separate written agreement.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available."

CiviHosting does not warrant that the Service will be uninterrupted, error-free, or suitable for every particular operational, legal, accounting, educational, banking, or regulatory requirement.

To the maximum extent permitted by law, we disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes a warranty or right that applicable law does not permit to be excluded.

20. Limitation of Liability

To the maximum extent permitted by applicable law, CiviHosting will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, business opportunities, or goodwill arising out of or relating to the Service.

Except for liability that cannot lawfully be limited or excluded, CiviHosting's aggregate liability arising out of or relating to the Service will not exceed the amount paid or payable by Customer to CiviHosting for the Service during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

21. Force Majeure

Neither party will be responsible for delay or failure to perform an obligation, other than an obligation to pay amounts already due, where the delay or failure results from circumstances beyond that party's reasonable control.

22. Changes to These Terms

We may update these Terms from time to time.

If a change materially affects an existing Customer's rights or obligations, we will provide reasonable notice through the Service, by email, or by another reasonable method.

The effective date at the top of these Terms identifies the current version.

Continued use of the Service after an updated version becomes effective constitutes acceptance to the extent permitted by applicable law.

23. Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-law rules.

Subject to any rights or requirements that cannot lawfully be waived, any legal proceeding arising out of or relating to these Terms or the Service may be brought in a court of competent jurisdiction in Michigan.

The parties may agree in writing to another method or forum for resolving a particular dispute.

Before commencing formal proceedings, the parties are encouraged to make a reasonable good-faith effort to resolve the dispute directly.

24. General Terms

Customer may not assign these Terms without our prior written consent, except in connection with a merger, reorganization, or sale of substantially all of its relevant business or assets. CiviHosting may assign these Terms in connection with a merger, reorganization, sale, or transfer of the Service or its business.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect and the unenforceable provision will be enforced to the greatest extent legally permitted.

A failure to enforce a provision is not a waiver of that provision.

These Terms, together with any applicable order form, DPA, or other written agreement incorporated into them, constitute the agreement between the parties concerning the Service and supersede prior discussions concerning the same subject matter.

If an individually signed agreement between Customer and CiviHosting expressly conflicts with these Terms, the signed agreement will control to the extent of the conflict.
